Terms of Service
Last updated: October 8, 2026 · Effective: April 18, 2026
For the separate Terms governing the public marketing site, see /terms.
1. Agreement to these Terms
These Terms of Service ("Terms") form a binding agreement between you and Wendell Labs, LLC, operator of SheetSnap ("SheetSnap," "we," "us," or "our") governing your access to and use of the SheetSnap application, APIs, dashboards, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you don't agree, don't use the Service.
If you're using the Service on behalf of an organization (school, studio, employer), you represent that you're authorized to bind that organization and that "you" in these Terms means both you and the organization.
2. Eligibility and your account
You must be at least 13 years old to create an account. If you're under 18, a parent or legal guardian must also agree to these Terms on your behalf. You sign in with a code or link sent to your email, or with Google, so you are responsible for keeping access to that email account and those sign-ins secure, and for all activity on your SheetSnap account. Notify us immediately at hello@sheetsnapapp.com if you suspect unauthorized access.
One human, one account. You may not create an account using a false identity or another person's information.
3. The Service
The Service lets you (a) import uncompressed MusicXML or MIDI files ("Scans") of sheet music, (b) view automated annotations and a playable interactive rendering, (c) practice with a MIDI keyboard on supported browsers or experimental microphone input, and (d) generate and export performance visualizations and videos. Features evolve — we may add, remove, or change features over time. If we retire a feature you paid for specifically, we'll give reasonable notice.
Hosted photo and AI scanning are disabled in the current founding beta. PDF or image recognition, microphone grading and video export must not be assumed to work perfectly or on every device. Your library, annotations and recordings have a local working copy. Verified signed-in libraries use private cloud checkpoints within the displayed capacity; guest content is not uploaded without an explicit copy into the account. Check the latest successful backup date before switching devices. This is versioned backup, not simultaneous collaborative editing. Conflicting edits and failed/oversized backups do not silently replace local work. Keep your own originals and important exports.
4. Subscription plans, billing, and refunds
Founding beta. The first 100 verified members may claim 30 days of Pro + Creator access. No card is required and there is no automatic billing. The period starts when access is claimed; eligibility and remaining places are checked by the Service. After 30 days, the account returns to Free unless you separately choose to purchase when checkout is available. Saved scores and recordings are not deleted by beta expiry. AI scanning is not included. Existing paid and Lifetime access remains unaffected.
The free starter experience is available without a purchase. Planned new paid offers are $3.99 USD per week or $10.99 USD per month, with the same features for either cadence. New purchasing remains closed until billing verification and testing are complete. Specific features, quotas, and prices are shown on the pricing page inside the Service and are the controlling representation of what you're buying.
- New Paddle subscriptions. When available, new purchases will be sold through Paddle as merchant of record. Weekly access is charged every 7 days and monthly access every month, in advance, until canceled. Cancel before the next renewal through the management link in your Paddle confirmation email or Paddle buyer support. Access normally continues until the end of the paid period. Paddle's buyer terms also apply to its transactions.
- Existing Stripe and Lifetime purchases. Existing subscriptions remain with their original billing provider and can be managed through the original billing portal. We do not automatically migrate them to Paddle. Existing Lifetime purchases retain their promised access. Lifetime was a single up-front payment in exchange for continued access to the then-current Pro feature set for as long as we operate the Service. "Lifetime" means the lifetime of the Service, not the user's lifetime. If we materially wind down or sell the Service, we'll provide reasonable notice and, when feasible, an export of your data.
- Existing Creator add-on. Attaches to a Pro or Lifetime account for additional video-render quota. Billed monthly via Stripe.
- Refunds. Except where applicable law or the billing provider's terms require otherwise, we do not routinely issue refunds for partially-used subscription periods. Unused-renewal policy: if you are charged for a renewal and contact hello@sheetsnapapp.com within 7 days of the charge and haven't meaningfully used the renewed period (defined as fewer than 5 minutes of playback, 0 video exports, 0 scans created), we'll issue a full refund and cancel the subscription. Lifetime is refundable within 14 days of purchase if you contact us in that window. Mandatory consumer rights, including applicable withdrawal rights and remedies for undelivered or faulty services, are not limited by this policy. See our refund and cancellation policy.
- Taxes. Prices exclude applicable taxes. If taxes apply, the checkout shows them before payment. For Paddle purchases, Paddle handles applicable transaction taxes as merchant of record.
- Price changes. We may change subscription prices with at least 30 days' notice before the change takes effect on your next renewal. Lifetime prices once paid are never retroactively changed for you.
- Failed payments. If a renewal payment fails, your account will downgrade to Free after a grace period. Your data stays; only quotas change.
5. Your content
"Your Content" means anything you upload to the Service — scans, MIDI files, audio captured via microphone, annotations, exported videos. You retain ownership of Your Content. You grant SheetSnap a non-exclusive, royalty-free, worldwide license to host, reproduce, modify (solely to run the Service, e.g., convert image to MusicXML), display, and transmit Your Content strictly for the purpose of operating, improving, and providing the Service to you.
We do not claim ownership of Your Content. We do not use Your Content to train AI models for third parties. We may aggregate and de-identify usage data (e.g., "N% of scans are piano solo in major keys") and use it for product analytics and marketing.
6. Copyright — this is important
Most published sheet music is copyrighted. Scanning and privately practicing music you own or that is in the public domain is generally fine under fair use / personal use doctrines in many jurisdictions. You are responsible for ensuring you have the right to upload what you upload.
By uploading a Scan, you represent and warrant that:
- You own a legally-acquired copy of the work, or the work is in the public domain, or you have a license from the rights holder that allows private digital use, and
- Your use of the Service with respect to that work — including any video export you create — is authorized by applicable copyright law or license.
Video exports. When you export a performance video and post it publicly (YouTube, Instagram, TikTok, etc.), you are publicly performing and/or distributing the underlying composition. Many platforms have license arrangements that cover common works; others require you to obtain a sync/mechanical license. SheetSnap does not obtain those licenses on your behalf — that's your responsibility. If you're not sure, keep your exports private or stick to public-domain works.
DMCA takedowns. If you're a rights holder and believe content generated via the Service infringes your copyright, send a notice to hello@sheetsnapapp.com with (a) your contact info, (b) identification of the work, (c) identification of the infringing material and its URL, (d) a good-faith statement that use is unauthorized, (e) a statement under penalty of perjury that your notice is accurate and you are the rights holder or authorized agent, (f) your physical or electronic signature. We will respond promptly. Repeat infringers will have their accounts terminated.
Our role. SheetSnap is a tool. We do not host libraries of third-party copyrighted scores. Scans and the derived renderings remain in your account only. We do not scan your uploads for matching against a copyright database but we reserve the right to do so in the future if abuse warrants it.
7. Acceptable use
You agree not to:
- Upload content you lack the right to upload (see Section 6).
- Use the Service to violate any law or infringe anyone's rights.
- Reverse-engineer, decompile, or create derivative works of the Service, except as expressly permitted by law.
- Attempt to circumvent quotas, authentication, or billing.
- Use the Service to harass, defame, or threaten anyone.
- Run automated scraping, credential stuffing, or denial-of-service attacks.
- Resell, sublicense, or commercially redistribute the Service without our written permission.
- Use the Service to train AI models or build competing products with our infrastructure.
8. Intellectual property
The Service — including the code, design, wordmark, logos, algorithmic outputs (score analysis, performance map, sediment visualization), and documentation — is owned by SheetSnap and protected by copyright, trademark, and other IP laws. Nothing in these Terms transfers any SheetSnap IP to you. The "SheetSnap" name and logo are our trademarks.
Some third-party open-source libraries (detailed in the Service's acknowledgments) are licensed under their own terms, which you also agree to comply with.
9. Feedback
If you send us feedback, feature requests, or bug reports, we may use them to improve the Service without obligation or compensation to you.
We may separately offer discretionary Pro + Creator access for qualifying beta contributions. The first confirmed report of a new reproducible product bug, or a useful previously unplanned suggestion that we ship, may qualify for a one-month extension after review. Known issues, duplicates and already-planned features do not automatically qualify. Rewards are limited to three months per account and 30 reward months across the program per UTC calendar month. A submission does not promise a fix, implementation date or reward. Security reports should be sent privately to hello@sheetsnapapp.com; this is not authorization to test other accounts, access private data or attack the Service.
Up to 20 verified beta members may join our research group. Six months of Pro + Creator can be earned after three sessions of at least five minutes on distinct UTC dates within two weeks, one assigned task and one short questionnaire, subject to meaningful-completion review. The six months start when awarded; no ongoing usage quota, positive review, promotion or marketing consent is required. Joining alone does not grant extended access. Awarded access is not automatically billed, does not include hosted AI scanning, and does not alter existing purchases or ownership of saved work.
10. Termination
You can close your account at any time from inside the Service. On closure, we delete Your Content (scans, audio, performance history) within 30 days; back-up copies may persist for up to an additional 30 days before being overwritten.
We may suspend or terminate your account if you materially breach these Terms, if you fail to pay, or if your activity creates legal or operational risk for us. We'll generally give notice and a chance to cure unless the breach is urgent or repeated. If we terminate without cause, we'll prorate and refund any prepaid unused period.
11. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SHEETSNAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCAN ANALYSIS, NOTE DETECTION, TRANSCRIPTION, OR PLAYBACK IS ACCURATE OR ERROR-FREE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHEETSNAP AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID SHEETSNAP IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100.00).
13. Indemnification
You agree to indemnify, defend, and hold harmless SheetSnap, its affiliates, and their respective officers, employees, and agents from any claim, demand, loss, or damages — including reasonable attorneys' fees — arising from (a) Your Content, (b) your breach of these Terms (especially Section 6 regarding copyright), or (c) your violation of any third-party right.
14. Changes to these Terms
We may update these Terms from time to time. If changes are material, we'll notify account holders at least 14 days before the change takes effect (via email to your account email, in-app banner, or both). Your continued use of the Service after the effective date means you accept the updated Terms. If you don't accept them, close your account before the effective date.
15. Dispute resolution, arbitration, class-action waiver
Informal resolution first. Before filing a formal claim, you agree to contact hello@sheetsnapapp.com describing the dispute in detail. We'll try in good faith to resolve it within 30 days.
Binding arbitration. If informal resolution fails, you and SheetSnap agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, in Delaware or (at your election) your county of residence, or remotely. The arbitrator's award is final and may be entered in any court of competent jurisdiction.
Class-action waiver. You and SheetSnap agree that arbitration (and any court proceeding that does fall outside this clause) will be conducted on an individual basis only. Neither party may pursue a class action, class arbitration, or representative action against the other.
Exceptions. Either party may bring a claim in small-claims court if it qualifies. Either party may seek injunctive or equitable relief in court for actual or threatened infringement of IP or violation of Section 7.
Opt-out. You may opt out of this Section 15 within 30 days of creating your account by emailing hello@sheetsnapapp.com with "Arbitration Opt-Out" in the subject line and including your account email. Opting out doesn't affect any other part of these Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. For disputes not subject to Section 15, the parties consent to the exclusive jurisdiction of the state and federal courts in Delaware.
17. Miscellaneous
Nothing in these Terms, including the dispute-resolution and liability clauses, removes mandatory consumer or privacy rights under applicable local law. Translated navigation does not imply that these legal pages or every advanced tool have been translated. Contact us for clarification.
- These Terms plus the App Privacy Policy form the entire agreement between you and SheetSnap regarding the Service.
- If any provision is held unenforceable, the rest remains in force and the unenforceable provision will be replaced with one that reflects the parties' original intent as closely as possible.
- We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. You may not assign these Terms without our written consent.
- No waiver of any provision is effective unless in writing and signed by SheetSnap.
- Neither party is liable for delays caused by events outside reasonable control (force majeure).
